Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the Pivot platform ("Service"), operated by Pivot Online LLC ("Pivot," "we," "us," or "our"), a company headquartered in Orlando, Florida. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly collect information from or direct the Service to anyone under the age of 18.

2. Account Registration

To use certain features of the Service, you must create an account by providing accurate, current, and complete information including your name and email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at admin@pivot.gdn if you believe your account has been compromised.

You may not assign, transfer, or share your account with any other person. You may not use automated tools, bots, or scripts to create accounts or interact with the Service.

3. Service Description

Pivot is a platform that allows users to create mobile-optimized link-in-bio websites ("Profiles"). Users can customize their Profiles with pages, links, social media integrations, themes, and content blocks. The Service includes both free and paid subscription tiers.

Pro subscribers may connect third-party services to their Profiles, including Gumroad (for displaying products and storefronts) and Patreon (for displaying creator campaigns and membership tiers). These integrations require you to authorize Pivot to access your third-party account data via OAuth. Pivot acts as an intermediary and does not process transactions on behalf of these platforms. Your use of Gumroad and Patreon is subject to their respective terms of service and policies.

Pro subscribers may also connect a custom domain to their Profile. Custom domain setup requires you to configure DNS records pointing to Pivot's servers. Pivot will verify domain ownership before activating the connection. You are responsible for maintaining ownership of any custom domain you connect and for ensuring your domain registration and DNS configuration remain valid.

4. Subscriptions and Payments

Pivot offers a free tier and paid subscription plans ("Pro"). Paid subscriptions are billed on a recurring basis (monthly) and auto-renew unless cancelled by you before the next billing cycle.

By subscribing to a paid plan, you authorize Pivot to charge your selected payment method on each renewal date. All payment processing is handled by Stripe, Inc. ("Stripe"). Pivot does not store your credit card details directly. Your use of Stripe is subject to Stripe's own terms and privacy policy.

Pivot reserves the right to modify subscription pricing at any time. We will provide notice of pricing changes at least 30 days before they take effect. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

5. Refund Policy

All subscription fees are non-refundable. Pivot is under no obligation to provide refunds or credits for any subscription payments, including partial billing periods. However, refunds may be issued at our sole discretion on a case-by-case basis. Refund inquiries may be directed to admin@pivot.gdn. Upon cancellation of a paid subscription, your account will revert to the free tier and Pro features (including premium themes) will be removed.

6. Free Trials and Promotions

Pivot may offer free trials or promotional coupon codes at its sole discretion. We reserve the right to modify or discontinue any trial or promotion at any time. Unless you cancel before the trial period ends, your payment method will be charged automatically at the applicable subscription rate.

7. User Content

You retain ownership of all content you upload, post, or display through the Service ("User Content"), including profile information, images, text, and links. By posting User Content, you grant Pivot a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.

You represent and warrant that you own or have the necessary rights and permissions to post your User Content, and that your User Content does not infringe upon the intellectual property, privacy, or other rights of any third party.

Pivot does not endorse any User Content and is not responsible for the accuracy, legality, or appropriateness of any content posted by users.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Post or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Promote violence, terrorism, self-harm, or hate speech
  • Sell or promote illegal goods or services, including drugs, weapons, or counterfeit products
  • Post pornographic or sexually explicit content
  • Engage in phishing, fraud, scams, or deceptive practices
  • Distribute malware, viruses, or other harmful code
  • Infringe upon the intellectual property rights of others
  • Scrape, crawl, or use automated means to access the Service without permission
  • Circumvent or interfere with the security or proper functioning of the Service
  • Impersonate any person or entity

Pivot reserves the right to remove any content and suspend or terminate any account that violates this Acceptable Use Policy, at our sole discretion and without prior notice.

9. Intellectual Property

All rights, title, and interest in and to the Service, including its design, features, functionality, logos, trademarks, and underlying technology, are the exclusive property of Pivot Online LLC or its licensors. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

10. DMCA Copyright Policy

Pivot respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on the Service infringes your copyright, please submit a takedown notice to our designated copyright agent at admin@pivot.gdn with the following information:

  • A description of the copyrighted work you claim has been infringed
  • A description of the material you claim is infringing and its location on the Service
  • Your contact information (name, address, phone number, email)
  • A statement that you have a good faith belief the use is not authorized by the copyright owner
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  • Your physical or electronic signature

We will respond to valid DMCA notices and may remove or disable access to the allegedly infringing content. Repeat infringers may have their accounts terminated.

11. Third-Party Links and Services

The Service allows users to link to third-party websites and services. Pivot is not responsible for the content, accuracy, privacy practices, or availability of any third-party websites or services. Your interactions with third-party sites are governed by their respective terms and policies.

Certain Pro features allow you to connect third-party accounts (such as Gumroad and Patreon) to your Profile via OAuth authorization. When you connect a third-party account, Pivot accesses data from that service (such as product listings, pricing, campaign details, and membership tiers) to display on your Profile. You may disconnect these integrations at any time through your account settings, which will revoke Pivot's access to that third-party data.

Pivot caches third-party data to improve performance and reduce load on external services. Cached data is refreshed periodically and may not reflect real-time changes on the third-party platform.

12. Email Communications

By creating an account, you consent to receive transactional emails from Pivot, including account confirmations, subscription notifications, and payment receipts. You may also receive occasional service-related announcements. You can unsubscribe from non-essential communications at any time by following the instructions in those emails or by contacting us at admin@pivot.gdn.

13. Account Termination

You may close your account at any time by contacting us at admin@pivot.gdn. Upon account closure, your Profile(s) and associated data will be removed from the Service.

Pivot reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms or the Acceptable Use Policy. Upon termination, your right to use the Service ceases immediately.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. PIVOT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVOT ONLINE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFIT, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

PIVOT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PIVOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless Pivot Online LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

17. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Orange County, Florida, and the arbitrator's decision shall be final and binding.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Pivot.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Orange County, Florida.

19. Modifications to Terms

Pivot reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. For significant changes, we will make reasonable efforts to provide at least 30 days' notice via email or a prominent notice on the Service. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pivot Online LLC regarding your use of the Service and supersede all prior agreements and understandings.
